  13. The MCC EINet MacWeb Version 0.98alpha software, both the binary executable and
  14. the source code (hereafter, Software), is copyrighted and licensed. MCC provides
  15. the Software and licenses its use as set forth herein. The Software is, and at
  16. all times shall remain, the property of MCC, and Licensee shall have no right,
  17. title or interest therein except as expressly set forth in this agreement.
  18. Source code, if made available, will be licensed separately.

  20. MCC grants to Licensee a license to use, copy and distribute the Software for
  21. academic, research and personal-use purposes only, without a fee, provided that
  22. (i) the above copyright notice and this permission notice appear in all copies
  23. of the Software and related documentation, and (ii) the MCC and EINet name may
  24. not be used in any advertising or publicity relating to the Software without the
  25. specific, prior written permission of MCC, and (iii) that no charge is
  26. associated with copies of the Software distributed by Licensee to third parties.
  27. Commercial use of this Software is forbidden without the express written
  28. permission of MCC and payment of a negotiated license fee.

  30. Licensee may make derivative works. However, if Licensee wishes to distribute
  31. any derivative work based on or derived from the Software, then Licensee will
  32. (1) notify MCC regarding potential distribution of the derivative work; (2)
  33. acquire permission from MCC to distribute the derivative work; and (3) clearly
  34. notify users that such a derivative work is a modified version and not the
  35. original Software written and distributed by MCC.

  37. Any Licensee wishing to make commercial use of the Software should contact MCC,
  38. to negotiate an appropriate license for such commercial use. Commercial use
  39. includes (1) integration of all or part of the Software into a product for sale
  40. or license by or on behalf of Licensee to third parties, or (2) distribution of
  41. the Software to third parties that need it to utilize a commercial product sold
  42. or licensed by or on behalf of Licensee.

  44. THIS SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND,
  45. EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, THE
  46. IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A
  47. PARTICULAR PURPOSE. MCC DOES NOT WARRANT THAT THE FUNCTIONS
  48. CONTAINED IN THE SOFTWARE WILL MEET LICENSEE'S REQUIREMENTS
  49. OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR
  50. ERROR-FREE. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE
  51. OF THE SOFTWARE IS WITH LICENSEE.

  53. IN NO EVENT WILL MCC BE LIABLE TO LICENSEE OR ANY THIRD PARTY
  54. FOR ANY DAMAGES, INCLUDING ANY LOST PROFITS, LOST SAVINGS OR
  55. OTHER INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES ARISING
  56. OUT OF THE USE OR INABILITY TO USE THE SOFTWARE EVEN IF MCC HAS
  57. BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

  59. By using or copying the Software, Licensee agrees to abide by the copyright law
  60. and all other applicable laws of the U.S. including, but not limited to, export
  61. control laws, and the terms of this license. MCC shall have the right to
  62. terminate this license immediately by written notice upon Licensee's breach of,
  63. or non-compliance with, any of its terms. Licensee may be held legally
  64. responsible for any copyright infringement that is caused or encouraged by
  65. Licensee's failure to abide by the terms of this license.
